Pixel Dixel Limited

- Scope
These Terms and Conditions (hereinafter, “T&C”) apply to all service agreements between Pixel Dixel Limited, registered at 70-72 Nottingham Road, Mansfield, Nottinghamshire, England NG18 1BN (hereinafter, “Pixel Dixel”), and the client.
Any terms or conditions of the client that conflict with or deviate from these T&C will not be recognized unless expressly agreed upon in writing by Pixel Dixel.
- Copyright and Usage Rights
2.1. The texts, designs, developments, concepts, and applications created by Pixel Dixel cannot be modified, either in their original form or in reproduction, without explicit permission. Any imitation, even partial, is prohibited.
2.2. Pixel Dixel grants the client simple usage rights over the developments and designs. The transfer of these rights to third parties requires a written agreement. Usage rights are only transferred after full payment of the agreed remuneration.
2.3. Pixel Dixel retains full ownership of the source code and developed materials unless otherwise specified through a written agreement. In the absence of such an agreement, the client will only have usage rights and may not distribute, resell, or modify the code without Pixel Dixel’s express consent.
2.4. Pixel Dixel retains the right to be credited as the author of the content and design.
2.5. Suggestions or contributions from the client do not affect the amount of the remuneration.
2.6. Only usage rights are granted for texts and developments; ownership rights are not transferred unless explicitly agreed otherwise.
- Remuneration
3.1. The development of websites, applications, designs, consulting services, technical support, and any other service provided by Pixel Dixel is chargeable unless expressly agreed otherwise. This includes the preparation of estimates beyond simple quotations.
3.2. Remuneration amounts are net and subject to applicable VAT. Unless otherwise agreed, remuneration includes the granting of simple usage rights as set forth in Section 2.2. Additionally, any changes to payment terms must be expressly accepted by Pixel Dixel.
3.3. If the developments and designs are used beyond the initially agreed scope, Pixel Dixel has the right to claim the difference between the higher fee for such extended use and the originally agreed fee.
- Payment Terms
4.1. Service quotations are valid for a period of 30 days from issuance. Pixel Dixel does not guarantee the availability or costs of equipment, materials, or third-party services.
4.2. Payment must be made according to the following terms:
• 50% upon acceptance of the quotation.
• Remaining 50% before the final delivery of the work, publication, or production launch.
• In the case of subscriptions, payments will be made via card or recurring bank transfer.
4.3. Any modifications or additional costs will be invoiced separately and will be notified in advance via email. Pixel Dixel reserves the right to suspend any service in case of non-payment, without the need to justify or prove any specific situation.
5. Special Services, Additional Costs, and Third-Party Expenses
5.1. Special services such as revisions or modifications of texts, software, or designs beyond the initially agreed scope will be billed separately based on the additional workload.
5.2. Pixel Dixel has the right to contract third-party services in the name and on behalf of the client if necessary to fulfill the contract. The client agrees to grant Pixel Dixel the required authorization.
5.3. If Pixel Dixel enters into agreements with third parties in its own name, the client releases Pixel Dixel from any liability arising from such agreements.
5.4. Quotations are valid for a period of 30 days for services. Quotes for equipment, materials, or third-party services are non-binding and subject to change.
6. Project Modifications and Overages
6.1. If the client requests modifications after approving the concept or development, the additional costs will be invoiced separately. Pixel Dixel reserves the right to invoice the client for work already performed.
6.2. Any additional costs due to changes in scope will be notified by email before being applied.
7. References and Self-Promotion
7.1. Pixel Dixel may use the projects it has developed for self-promotion in all media, both online and offline, provided they have been previously published by the client.
7.2. Pixel Dixel has the right to mention the client as a reference and use their logo.
8. Liability
8.1. Pixel Dixel shall not be liable for indirect damages, data loss, service interruptions, or any other harm arising from technical failures, cyberattacks, third-party errors, or circumstances beyond its control.
8.2. Pixel Dixel commits to carefully selecting and supervising its subcontractors. However, its liability in relation to them is limited solely to cases of willful misconduct or gross negligence, except where otherwise required by law.
8.3. If Pixel Dixel contracts third-party services in the name of the client, these providers will not be considered agents of Pixel Dixel, and the company assumes no responsibility for their actions. Pixel Dixel will only be liable for its own conduct in cases of gross negligence or willful misconduct.
8.4. Pixel Dixel is committed to delivering optimized and secure services but does not guarantee the absence of errors, vulnerabilities, interruptions, or incompatibilities with third-party platforms.
8.5. Pixel Dixel is not responsible for the legality of generated texts, designs, software, or applications. The client is responsible for verifying and ensuring that all content and developments comply with applicable regulations in their sector or jurisdiction.
8.6. Pixel Dixel will not be liable for delays or inconveniences caused by incomplete, incorrect, or late information provided by the client.
8.7. The client is responsible for reviewing and approving the accuracy, functionality, and legal compliance of texts, software, and designs before publication or implementation. Once approved, all responsibility falls entirely on the client.
8.8. Pixel Dixel does not provide legal advisory services nor guarantees the regulatory compliance of generated content. Any legal inquiries should be handled by the client through their own legal team.
8.9. Any claim regarding apparent defects must be submitted in writing within 14 days of delivery. After this period, the service will be considered accepted without objections.
9. Subscriptions and Service Termination
9.1. Subscription-based services may be restricted or canceled at any time by Pixel Dixel. The client will be charged for the current billing period but will not be charged for subsequent periods after cancellation.
9.2. If the client fails to make subscription payments, Pixel Dixel may suspend or cancel the service immediately.
9.3. Any service interruption due to non-payment will be enforced without prior notice.
10. Final Provisions
10.1. Pixel Dixel reserves the right to modify these Terms and Conditions at any time, notifying clients in advance.
10.2. The place of performance is Pixel Dixel’s registered office.
10.3. The invalidity of any provision of these terms does not affect the validity of the remaining provisions.
10.4. English law shall apply, excluding private international law.
10.5. The jurisdiction for any dispute arising from this agreement, unless otherwise required by law, shall be Nottinghamshire, England.
